Introduction to the job
As Chief Ethics Officer you will drive a culture of integrity. You will enable, promote and drive ethical business conduct globally through the design and effective implementation of Ethics, and Human Rights programs. You will be responsible for overseeing and investigating all matters reported globally to our Speak Up system, including those reported by external parties relating to our Code of Conduct and Human Rights policy.
The function reports to the Global Chief Compliance Officer and is part of the Legal & Compliance function. You will Lead a team of highly qualified professionals in Ethics, Business Integrity and Human Rights and maintain a network of Ethics liaisons in the business.
The company is active in multiple jurisdictions and subject to multiple, often extraterritorially applicable, laws and regulations. Geopolitical stakes and the strategic importance of the semi-conductor industry makes that compliance is crucial. This makes this position challenging, complex and key.
Role and responsibilities
- Establish and maintain Ethics & Business Integrity (E&BI) programs by ensuring roll out and systematic review of relevant policies including Code of Conduct, Speak Up & Non retaliation and Human Rights globally (Member and facilitator of the Ethics Committee; Lead regional ethics/compliance officers and Ethics Liaison network, consisting of ~ 70 Ethics Liaisons worldwide for assistance with local implementation of policies, training and ethics investigations; Carry out annual risk assessments for relevant Ethics and Business Integrity areas and ensure controls are adequate and making recommendations for improved measures, when necessary; Stay abreast of the evolving industry landscape including laws, regulations and guidance along with industry leading practices)
- Oversee, coordinate and perform Ethics Investigations, make recommendations on disciplinary actions and drive the mindset whereby integrity is leading in decision making.
- Lead the human rights program based on UNGP’s and OECD guidelines as set out within CSRD and CSDDD (or other country specific legislation such as LkSG in Germany). Work closely with the ESG team and ensure roadmap will address human rights related double materiality findings.
- Provide written recommendations on human rights related in connection with UFLPA (Uyghur Forced Labor Protection Act) and any other legal requirements placed on companies (or newly introduced).
- For the purposes of German legislation, act as the ‘human rights officer’ who is responsible for monitoring the risk management within our supply chains.
- Establish and maintain an annual global training plan for Ethics & Business Integrity policies and ensure high quality on-boarding curriculum with annual refreshers to be conducted in accordance with approved global E&BI curriculum (Develop and manage guidance & tools to support the business in embedding E&BI into operations, including leadership, performance management and decision-making; Actively involve global and regional leadership to leverage key E&BI messages and to maintain high level of awareness (Tone from the Top) ; Liaising with the regional ethics/compliance officers and Country Managers to ensure appropriate local implementation of E&BI policies, training and awareness programs
- Enforce, Monitor and Report on Ethics and Business Integrity (Monitor effectiveness of the E&BI programs by developing and maintaining a monitoring plan; Work closely with Communications to support internal and external communication efforts to improve trust and speak up culture; Conduct annual ethics survey, interpret results and work with relevant stakeholders (management and HR) in areas where results show low(er) scores than expected; Enhance tooling for certain E&BI programs in order to be able to monitor and report effectively; Analyze ethics reports and cases, issues, complaints and external landscape with a view to identifying trends and priorities for the further development of the ethics and business integrity programs. Respond to trends either identified within data or which are brought via other channels; Regularly update the Ethics Committee on significant trends and the status of compliance programs; Jointly with HR and Employee Relations, implement appropriate sanction policy for breaches of policies)
- Team Leadership (Lead and develop the team to ensure that each employee is able to contribute fully; Increase capabilities for case handling, not only by increasing number of ethics officers but also by improving skills and knowledge how to best handle ethics reports; Regularly update ethics investigations processes globally by updating and maintaining an ethics investigations procedure and leading an integrated global investigations function which includes working with and training a pool of investigators)
Education and experience
- Master degree in business or law;
- 8-12 years of related professional experience;
- 5+ years of relevant experience in establishing and monitoring Ethics and Compliance programs , preferably in a large corporate, legal or audit firm.
- Experience in working abroad is a pre;
- Fluent in English
